Terms of Service

1. Parties and scope

These Terms govern access to and use of Nexus Gate services ("Services") provided by Nexus Gate LLC ("Nexus Gate," "we," "us"), a Virginia-based company. By using the Services you agree to these Terms.

2. Service description

Nexus Gate provides lead generation data services for home service agencies and contractors, including scraped contact data, email verification, CSV delivery, and API-based data access. Service scope, configuration, and deliverables are defined in each customer's order form or service agreement.

3. Customer responsibilities

You are responsible for: (a) ensuring lawful use of the Services in your jurisdiction, including compliance with applicable data protection and anti-spam laws; (b) maintaining account security and access controls; (c) verifying the accuracy and suitability of data received through the Services for your intended use; (d) obtaining any required consents before using data to contact individuals. Nexus Gate does not provide legal or compliance advice.

4. Acceptable use

You may not use the Services to contact individuals without required consent, violate applicable telemarketing or privacy laws, or circumvent any technical or contractual restriction.

5. Billing, setup fees, and cancellation

Monthly subscription fees are billed in advance. One-time setup fees are non-refundable once onboarding begins. For monthly subscribers, cancellation takes effect at the end of the current billing period - no prorated refunds. Annual plan cancellation terms are defined in your order form. Nexus Gate reserves the right to update pricing with 30 days' notice; existing customers retain their contracted rate for the current term.

6. 30-Day Pilot

If your plan includes a 30-day pilot period, you may cancel within 30 days of your go-live date for a full refund of the first month's subscription fee. Setup fees are excluded from pilot refunds.

7. Limitation of liability

To the maximum extent permitted by law, Nexus Gate's total liability for any claim arising from these Terms or the Services is limited to the fees you paid in the 12 months preceding the claim. Nexus Gate is not liable for indirect, incidental, special, or consequential damages, including lost revenue or data loss.

8. Warranty disclaimer

The Services are provided "as is." Nexus Gate makes no warranty that the Services will be error-free, uninterrupted, or meet any particular performance standard. Data accuracy, completeness, and recency are not guaranteed; customers are responsible for verifying data before use. Illustrative results and estimates on the website are not guarantees.

9. Indemnification

You agree to indemnify and hold Nexus Gate harmless from claims arising from your use of the Services, your violation of these Terms, or your violation of applicable law.

10. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Fairfax County, Virginia. You waive any objection to jurisdiction or venue in those courts.

11. Changes to Terms

We may update these Terms with 14 days' notice via email or site posting. Continued use after the effective date constitutes acceptance.
